Hunter Manufactura sells its shares to Delta Plus Group

Upon obtaining the necessary authorizations and fulfillment by the parties of the conditions for closing, in September 2022 the transaction to sell all the shares of Hunter Manufactura S.A. de C.V. to the French group Delta Plus Group S.A. was closed.

Hunter Manufactura S.A. de C.V. is a Mexican company that has consolidated its position as a leader in the segments of design, manufacture, and distribution of high-end PVC industrial boots for the Mexican market, under the trademark DRYPRO®, which has its operations center in Jalisco. Further, resulting from the great quality of its products, Hunter Manufactura, S.A. de C.V. distributes their products in the United States of America and Canada.

In turn, Delta Plus Group S.A. is a French company, listed with the Euronext Growth of Paris, and one of the main players in the global market of Personal Protective Equipment; with a presence in more than 110 countries through 45 subsidiaries located across Europe, Asia, and America.

The acquisition of Hunter Manufactura, S.A. de C.V by Delta Plus Group S.A. is aimed to consolidate the industrial boots business of the latter, and to initiate its presence in Mexico, a country considered with strong growth potential in the segments in which Delta Plus Group S.A. participates.

José Ramón Ayala and Guillermo Moreno led the Santamarina + Steta team that advised Hunter Manufactura, S.A. de C.V. in legal matters regarding the sale of its shares.

Arkema México, a subsidiary of Arkema Group, dedicated to the design and manufacture of specialized materials, carried out the acquisition of Polímeros Especiales, S.A. de C.V., a leader company in the region focused on the manufacture and commercialization of emulsion polymers, which generates an annual income of USD$40 million for the sale of its products in Mexico, Central America, and South America.

With this acquisition, Arkema will strengthen its position in the regional market in the coating solutions segment and will drive the development of sustainable innovations.

Kimberly-Clark de México Debt Issuance

Kimberly-Clark de México carried out the issuance of long-term debt certificates by the amount of ten billion Mexican Pesos under the program of long-term debt certificates to the amount of sixteen billion Mexican Pesos.

Citibanamex Casa de Bolsa, part of Grupo Financiero Citibanamex, and Casa de Bolsa BBVA México, part of Grupo Financiero BBVA México, were underwriters of the transaction.

Invex Controladora, S.A.B. de C.V. carried out the issuance of long-term debt certificates in the amount of $2,000,000,000.00 (two thousand million Mexican pesos) under the dual program of short and long-term debt certificates to the amount of $5,500,000,000 (five thousand five hundred million Mexican pesos). Invex Casa de Bolsa, S.A. de C.V., Invex Grupo Financiero was the underwriter of the transaction.
